Made Up, LLC (“Made Up,” “HeirWell,” “we,” “us,” or “our”) provides the HeirWell mobile application and related website and services. HeirWell is designed to help people organize information needed to care for another person and to make that information easier to access and manage.
These Terms & Conditions govern your access to and use of HeirWell. By creating an account, accessing, or using HeirWell, you agree to these Terms & Conditions. If you do not agree with these Terms, do not use HeirWell.
Acceptance of These Terms
By creating an account or using HeirWell, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.
The HeirWell Service
HeirWell is an organizational tool designed to help caregivers and other authorized users organize information about people they care for. The service may include features for organizing information relating to health, medications, healthcare providers, finances, legal matters, tasks, and other caregiving needs.
Accounts
Some HeirWell features require an account. You agree to provide information that is accurate and current and to keep your account information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs through your account. You should notify us promptly if you believe your account has been accessed or used without authorization.
You may not use another person’s account without authorization.
Your Information
You retain responsibility for the information you enter, upload, store, or otherwise provide through HeirWell.
You are responsible for ensuring that you have the appropriate authority or permission to enter and manage information about another person through HeirWell.
You are also responsible for the accuracy and completeness of information you provide and for reviewing information before relying upon it.
Not Professional Advice
HeirWell is an organizational and information-management tool. It does not provide medical, nursing, legal, financial, tax, insurance, or other professional advice.
Information displayed or stored through HeirWell should not be treated as a substitute for advice or services from a qualified professional.
You are responsible for obtaining appropriate professional advice when your circumstances require it.
Emergencies and Time-Sensitive Situations
HeirWell is not an emergency service and should not be used to obtain emergency assistance or make urgent medical decisions.
In an emergency or other situation requiring immediate assistance, contact the appropriate emergency services or qualified professional.
Your Content
You retain your rights in the information and content you provide through HeirWell.
By using HeirWell, you grant Made Up, LLC the limited rights necessary to host, store, process, transmit, and display that information solely as necessary to provide, maintain, secure, and improve the service.
We will handle personal information in accordance with our Privacy Policy.
Prohibited Uses
You may use HeirWell only for lawful purposes and in accordance with these Terms.
You may not use HeirWell to:
- violate any applicable law or regulation;
- access another person’s account or information without authorization;
- interfere with or disrupt the operation or security of HeirWell;
- attempt to gain unauthorized access to systems, accounts, or data;
- introduce malicious code or other harmful material; or
- use HeirWell in a manner that could damage, disable, overburden, or impair the service.
We may suspend or restrict access to HeirWell if we reasonably believe that an account or use of the service violates these Terms or creates a security, legal, or operational risk.
Service Availability and Changes
We work to keep HeirWell available and functioning properly, but we do not guarantee that the service will always be available, uninterrupted, or error-free.
We may modify, update, suspend, or discontinue features of HeirWell from time to time.
We may also perform maintenance or experience interruptions caused by circumstances beyond our reasonable control.
Intellectual Property
HeirWell and its software, design, branding, logos, text, graphics, features, and other materials are owned by Made Up, LLC or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reproduce, or create derivative works from the HeirWell service or its content.
Third-Party Services
HeirWell may rely on third-party services to provide hosting, authentication, data storage, communications, analytics, payment processing, or other functionality.
Third-party services may have their own terms and privacy policies. Made Up, LLC is not responsible for services or content controlled by independent third parties.
Disclaimers
HeirWell is provided on an “as is” and “as available” basis to the extent permitted by law.
To the extent permitted by applicable law, Made Up, LLC disclaims warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that HeirWell will meet every user’s requirements, operate without interruption, or be free from errors or security vulnerabilities.
Limitation of Liability
To the maximum extent permitted by law, Made Up, LLC and its owners, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, HeirWell.
To the maximum extent permitted by law, our total liability arising out of or relating to HeirWell or these Terms will be limited to the amount you paid to use HeirWell during the twelve months preceding the event giving rise to the claim.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Made Up, LLC and its owners, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, and expenses arising from your violation of these Terms, your misuse of HeirWell, or your violation of another person’s rights.
Account Termination and Deletion
You may stop using HeirWell at any time and may request deletion of your account through the account-deletion functionality provided in the app.
We may suspend or terminate an account when reasonably necessary to protect the service, our users, or our legal rights, including when an account materially violates these Terms.
Account deletion and the handling of information following deletion are described further in our Privacy Policy.
Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.
Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the effective date shown at the beginning of these Terms.
Your continued use of HeirWell after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
